1. Agreement to Terms

By accessing or using 1520Now ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including both free trial users and paid subscribers.

2. Description of Service

1520Now is a Chrome browser extension that automates the generation of SBA Form 1520 (Borrower Information Form) from QuickBooks Online data.

2.1 Service Features

• Extraction of loan data from QuickBooks Online
• Generation of SBA Form 1520 PDFs
• Free trial: 3 form generations without payment
• Paid subscription: 50 form generations per month

2.2 Service Limitations

• Currently supports QuickBooks Online only (not QuickBooks Desktop)
• Supports term loans only (lines of credit not yet supported)
• Requires Google Chrome browser
• Internet connection required for paid subscribers

3. Account Registration and Eligibility

3.1 Eligibility

To use this Service, you must:

• Be at least 18 years of age
• Have the legal authority to enter into these Terms
• Have access to QuickBooks Online
• Use Google Chrome browser

3.2 Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• You may not share your account with others or allow others to use your license key

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Subscription Terms

4.1 Free Trial

• New users receive 3 free form generations
• No credit card required for free trial
• Trial usage is tracked locally in your browser
• Trial cannot be extended or reset
• One trial per user

4.2 Paid Subscription

• Subscription cost: $149 USD per month
• Includes 50 form generations per month
• Usage resets on your monthly billing date
• Unused forms do not roll over to the next month
• Automatic renewal unless cancelled

4.3 Payment Terms

• Payment is processed through Stripe, Inc.
• You authorize us to charge your payment method on a recurring monthly basis
• Prices are subject to change with 30 days notice
• Failed payments may result in service suspension
• You are responsible for all applicable taxes

4.4 Billing Cycle

• Billing occurs on the date you initially subscribed
• Your subscription automatically renews each month unless cancelled
• You will receive email receipts for each payment

5. Cancellation and Refunds

5.1 Cancellation Policy

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You will retain access to the Service until the end of the paid period
• No cancellation fees or penalties
• To cancel, email support@1520now.com or manage from your account dashboard

5.2 Refund Policy

No Refunds for Partial Months: Due to the nature of our service (instant PDF generation), we do not offer refunds for partial billing periods. If you cancel, you will not be charged for subsequent months, but the current month's payment is non-refundable.

Exceptions: We may offer refunds at our sole discretion in cases of:

• Service outages that prevent you from using the Service for extended periods
• Billing errors or duplicate charges
• Technical issues that make the Service unusable

5.3 Account Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service
• Payment fails and is not corrected within 7 days
• You engage in fraudulent or abusive behavior
• Required by law or regulatory authority

If we terminate your account for violation of these Terms, no refund will be provided.

6. Usage Limits and Overage Policy

6.1 Monthly Limits

• Free trial: 3 forms total (lifetime limit)
• Paid subscription: 50 forms per month
• Limits reset on your monthly billing date

6.2 Exceeding Limits

If you exceed your monthly limit:

• The Service will prevent additional form generation until your next billing cycle
• You may contact support@1520now.com to discuss a custom plan
• We do not currently offer overage charges or pay-per-form options

6.3 Fair Use Policy

You agree to use the Service in good faith and not to:

• Share your account with multiple users
• Resell or redistribute generated forms commercially
• Abuse the Service through excessive API calls or automation
• Use the Service in a way that negatively impacts other users

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service to:

• Generate SBA Form 1520 for legitimate business purposes
• Extract data from QuickBooks accounts you own or have authorization to access
• Comply with SBA loan reporting requirements

7.2 Prohibited Uses

You may NOT use the Service to:

• Access QuickBooks data without proper authorization
• Generate fraudulent or misleading loan reports
• Violate any laws, regulations, or third-party rights
• Reverse engineer, decompile, or disassemble the extension
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service to compete with us or create a similar product
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Harvest or collect user information from other users
• Use automated means to access the Service (bots, scrapers, etc.)

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including the Chrome extension, website, documentation, and all related content, is owned by 1520Now and is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written permission.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Chrome extension
• Access and use the Service for your internal business purposes
• Generate and use SBA Form 1520 PDFs created through the Service

8.3 Your Data

You retain all rights to the data you input into the Service, including QuickBooks data. By using the Service, you grant us a limited license to:

• Process your QuickBooks data to generate SBA Form 1520
• Store usage metadata (form counts, timestamps) as described in our Privacy Policy
• Use anonymized, aggregated data for service improvement

8.4 Generated Forms

SBA Form 1520 is a government form in the public domain. You own the completed forms generated through our Service and may use them as needed for SBA loan reporting.

9. Third-Party Services

9.1 QuickBooks Online

Our Service integrates with QuickBooks Online, which is owned and operated by Intuit Inc. We are not affiliated with, endorsed by, or sponsored by Intuit. Your use of QuickBooks Online is subject to Intuit's terms of service.

9.2 Stripe Payment Processing

Payment processing is handled by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service and privacy policy.

9.3 No Liability for Third-Party Services

We are not responsible for:

• Changes to QuickBooks Online that affect our Service
• Downtime or issues with third-party services
• Data loss or security issues on third-party platforms

10. Disclaimers and Warranties

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy or completeness of generated forms

10.2 Accuracy of Generated Forms

While we strive to generate accurate SBA Form 1520 PDFs, we do not guarantee:

• 100% accuracy of data extraction from QuickBooks
• Compliance with all SBA requirements for your specific situation
• Suitability for all loan types or scenarios

You are responsible for reviewing all generated forms for accuracy before submission to the SBA or lenders.

10.3 No Professional Advice

The Service is a tool for form generation and does not constitute:

• Legal advice
• Financial advice
• Accounting advice
• Professional consultation of any kind

You should consult with qualified professionals regarding SBA loan compliance and reporting requirements.

10.4 Beta Features

Some features may be labeled as "beta" or "experimental." These features are provided for testing purposes and may:

• Contain bugs or errors
• Be changed or discontinued without notice
• Not be suitable for production use

11. Limitation of Liability

11.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 1520NOW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from errors in generated forms
• Damages resulting from Service downtime or unavailability
• Damages resulting from third-party actions (including QuickBooks or Stripe)

11.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless 1520Now, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Unauthorized access to QuickBooks data
• Submission of inaccurate or fraudulent loan reports
• Any content or data you provide to the Service

13. Privacy and Data Protection

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

14. Modifications to the Service

14.1 Right to Modify

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14.2 Updates to Chrome Extension

We may release updates to the Chrome extension to:

• Add new features
• Fix bugs and security issues
• Adapt to changes in QuickBooks Online
• Improve performance

Updates may be installed automatically through the Chrome Web Store. You are responsible for ensuring you have the latest version installed.

15. Changes to Terms

We may revise these Terms from time to time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• We will notify you via email if the changes are material
• Changes become effective 30 days after notification

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must cancel your subscription.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Before filing any legal claim, you agree to first contact us at legal@1520now.com to attempt to resolve the dispute informally.

16.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Exceptions to arbitration:

• Claims for injunctive or equitable relief
• Claims in small claims court (if eligible)
• Intellectual property disputes

16.4 Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action. Class arbitrations and class actions are not permitted.

16.5 Jurisdiction and Venue

For disputes not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1520Now regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.

17.6 Notices

We may provide notices to you via email, through the Service, or by posting on our website. You consent to receive communications electronically.
